Hexagon prepares for the spin-off of its Asset Lifecycle Intelligence division and related businesses

Hexagon AB (Nasdaq Stockholm: HEXA B) announces that the Board of Directors, after a comprehensive assessment, has directed management to prepare for the separation of its Asset Lifecycle Intelligence (“ALI”) division and related businesses (“NewCo”) by way of a Lex Asea distribution (or “spin-off”) to its shareholders, as previously announced on 25[th] October 2024. The Board intends to propose the distribution and listing of NewCo’s shares at a shareholder's meeting in early 2026, provided that the circumstances are deemed right at the time. Following the Initial Public Offering (IPO) of Unitree Technologies, Hexagon expects to record a gain in its third quarter results on the revaluation of its shareholding, which represents 1.198% of the Unitree’s issued share capital. The gain will be calculated on the closing share price on 30 September 2026. Based on today's closing price, the gain would be approximately €500m. Any gain will be recorded as a non-cash Item Affecting Comparability (IAC) in Hexagon's accounts. The shares are subject to a 12-month lock-up period from today’s date.
